Notice of a Special Meeting called by the Board of Directors for The Meadowgrove Club, Inc. on February 15, 2023, at 7:00 pm, at the Clubhouse located at 2850 Meadowgrove Way, Marietta, GA 30067.  The ONLY issue on the agenda will be passing new By-Laws.  
 
   The Board utilized a By-Laws Committee with 13 volunteer members to draft/edit and debate each section and clause.  It has taken over a year and we are confident the proposed By-Laws are cohesive and instructive for Members and the Board (now and into the future).
 
   As such, linked here, and posted on the website are the proposed By-Laws.  We understand that many members have probably served on other Boards or have other By-Laws that might have different language.  We researched other clubs, pools and organizations and we believe these By-Laws are sufficient to govern our club going forward.
 
   Under the old By-Laws, we must meet a quorum of at least 15% of the total membership (or 29 voting members).  Each family unit or single member shall cast only 1 vote.
 
    AFTER reviewing the By-Laws, you can cast a vote by replying to this email (yea or nay).  In the alternative, you may cast your vote in person at the Special Meeting on February 15, 2023.  You may also give your vote to another active member by proxy.  However, if you give your vote by proxy (IT MUST BE IN WRITING TO THE SECRETARY PRIOR TO FEBRUARY 15, 2024). 
 
   If providing your vote by Proxy please cut and paste the following:  I, _______________, give my vote on the sole issue of whether or not to approve the proposed By-Laws for The Meadowgrove Club, Inc. to ________________.  This Proxy vote shall only apply to the vote on February 15, 2023.
 
   We apologize for the lengthy email, but the current By-Laws are very outdated, conflicting and must be amended.  If quorum is not met (at least 29 votes), we will continue to schedule Special Meetings until we can meet that burden.
 
   Finally, the old By-Laws require 51% of the votes to be in favor to amend our old By-Laws.  If the measure fails by vote, we will reconvene the By-Law Committee and invite those who voted against the By-Laws to join the committee and submit their own suggestions.
